Introduction

These Terms and Conditions ("Terms", "Agreement") govern your use of the EduAI platform ("Service", "Platform") operated by Z2ONE AI LLC ("us", "we", or "our"). EduAI is an educational AI platform designed for classrooms and communities with privacy, equity, and safety at its core.

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

1. Definitions

"User" means any individual who accesses or uses the Service, including Students, Teachers, and School Administrators.

"Student" means a learner using the platform for educational purposes.

"Teacher" means an educator or instructor using the platform to deliver educational content.

"School" or "Institution" means an educational organization that has authorized use of the Service.

"Content" means any data, text, graphics, photos, audio, video, or other materials uploaded, submitted, or displayed through the Service.

"Local AI" means AI models that run on local servers, school networks, or offline devices without external data transmission.

2. Eligibility and Account Registration

2.1 Age Requirements

Users under 13 years of age may only use the Service with parental or guardian consent and under the supervision of their school or educational institution.

2.2 Account Creation

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate and current. You are responsible for safeguarding your account credentials and for all activities under your account.

2.3 Institutional Authorization

Teachers and Administrators must have proper authorization from their educational institution to create accounts and add Students to the platform.

3. Use of Service

3.1 Permitted Uses

The Service is provided exclusively for educational purposes, including:

  • AI-powered tutoring and adaptive feedback
  • Lesson planning and classroom management
  • Educational content generation
  • Student progress tracking and assessment
  • Educational video creation and analysis
  • Emotion detection for educational insight (with consent)

3.2 Prohibited Uses

You agree NOT to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Upload or transmit viruses, malware, or any malicious code
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers
  • Collect or harvest any personally identifiable information without consent
  • Use the Service to harass, abuse, or harm another person
  • Impersonate any person or entity
  • Share, sell, or redistribute Student data to third parties
  • Use the Service for commercial purposes without authorization

4. Content and Intellectual Property

4.1 User Content Ownership

Students and Teachers retain all intellectual property rights to their original work, including:

  • Student homework, assignments, and creative works
  • Teacher lesson plans and educational materials
  • Original text, images, drawings, and videos created by Users

4.2 License to EduAI

By submitting Content to the Service, you grant EduAI a limited, non-exclusive, royalty-free license to use, process, and display such Content solely for the purpose of providing and improving the Service. This license terminates when you delete your Content or account.

4.3 Platform Intellectual Property

The Service, including its original content, features, functionality, software, algorithms, and AI models, is owned by Z2ONE AI LLC and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

4.4 AI-Generated Content

Content generated by our AI systems (such as lesson plans, feedback, or educational materials) is provided to support your educational activities. You may use AI-generated content for educational purposes within your institution.

5. Privacy and Data Protection

5.1 Privacy Policy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

5.2 Data Processing

We process User data in accordance with applicable data protection laws, including FERPA (Family Educational Rights and Privacy Act), COPPA (Children's Online Privacy Protection Act), and GDPR (General Data Protection Regulation) where applicable.

5.3 Local-First Design

EduAI prioritizes local data processing. When Local AI models are used, sensitive Student data does not leave the local environment (school network or device).

5.4 No Advertising or Sale of Data

We will NEVER:

  • Sell Student or Teacher data to third parties
  • Use Student data for advertising purposes
  • Train commercial AI models on Student data without explicit consent

6. Payment and Subscriptions

6.1 Institutional Licensing

The Service is provided to educational institutions through institutional licensing agreements. Contact info@z2one.ai for pricing and licensing information.

6.2 Free Tier and Pilot Programs

We may offer free access or pilot programs to select institutions. These offerings are subject to specific terms communicated at the time of enrollment.

6.3 Payment Terms

For paid institutional licenses, payment terms will be specified in the institutional agreement. Non-payment may result in suspension or termination of Service access.

7. Disclaimers and Limitations of Liability

7.1 Educational Tool Disclaimer

EduAI is an educational support tool powered by artificial intelligence. While we strive for accuracy, AI-generated content may contain errors or inaccuracies. Teachers and educational professionals should review all AI-generated content before use in instruction.

7.2 "AS IS" and "AS AVAILABLE"

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

7.3 Limitation of Liability

To the maximum extent permitted by law, Z2ONE AI LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • Your access to or use of or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Unauthorized access, use, or alteration of your transmissions or content
  • Errors, inaccuracies, or omissions in AI-generated content

7.4 Maximum Liability

Our total liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the amount paid by your institution for the Service in the 12 months preceding the claim, or $100 USD if no fees were paid.

8. Indemnification

You agree to indemnify, defend, and hold harmless Z2ONE AI LLC, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

  • Your access to or use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property or privacy rights
  • Any Content you submit or upload to the Service

9. Termination

9.1 Termination by You

You may terminate your account at any time by contacting your institutional administrator or by emailing info@z2one.ai.

9.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice or liability, for any reason, including:

  • Breach of these Terms
  • Non-payment by your institution
  • Fraudulent, illegal, or harmful activity
  • Request by law enforcement or government agency

9.3 Effect of Termination

Upon termination, your right to use the Service will cease immediately. You may request deletion of your data in accordance with our Privacy Policy. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. Material changes will be communicated via email to institutional administrators and posted on the Service.

By continuing to access or use our Service after revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Service.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law provisions.

11.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration in Fairfax County, Virginia, in accordance with the rules of the American Arbitration Association.

11.3 Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between you and Z2ONE AI LLC individually. You waive any right to pursue disputes on a class action basis or in any proceeding in which either party acts in a representative capacity.

12. Miscellaneous

12.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Z2ONE AI LLC regarding the Service and supersede all prior agreements.

12.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12.3 Waiver

No waiver of any term shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

12.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign or transfer these Terms without restriction.
